Our team then forms your GP and Manager entities in Delaware and reviews your investor deck for compliance considerations—giving you a strong, compliant foundation from day one. We draft the key agreements every fund needs:
- Delaware Limited Partnership Agreement
- Subscription Booklet with risk factors and disclosures
- Operating Agreements for GP and Management Company

You'll receive a compliance checklist and a first-close checklist outlining the essential steps to meet investor and regulatory requirements—so you're ready to begin outreach and secure commitments.
We guide you through the closing process with introductions to trusted administrators, accountants, and placement agents. We also handle Form D and up to 3 Blue Sky filings to keep you compliant through your first close. (Regulatory filing fees not included.)
You'll have up to five hours of dedicated legal support pre-first close, plus access to RPCK community office hours (workshops, panels, and small-group sessions) that provide practical insights and connections beyond legal counsel.
